Elmwood Athletic Booster’s Club Bylaws Article I – Name Article II – Purpose Article III – Membership Article IV – Officers Article V – Meetings Article VI – EABC Process for Expenditures Article VII – Parliamentary Authority Article VIII – Amendments Article IX – Dissolution of the EAB Article I - Name The name of this non-profit organization shall be the Elmwood Athletic Booster’s Club and henceforth shall be referred to in these By-Laws as the EABC. Article II – Purpose The purpose of the EABC shall be to promote and support all approved athletic activities of Elmwood Community Unit School District #322. Article III– Membership Section I – Membership Requirements Membership is open to all families of Elmwood Athletes. The membership year will coincide with the EABC’s fiscal year. Section II – Family Membership Membership shall be extended to and include all members of the immediate family except those children married over 19 years of age. Voting is limited to one (1) vote per family. Membership does not provide admission to athletic contests. Section III – Fiscal Year The EABC’s fiscal year is July 1st through June 30th. Section IV – Ethics of the EABC Members of the EABC are expected to demonstrate good conduct and sportsmanship at all times. Any member not demonstrating good conduct, good sportsmanship or otherwise behaving in a disruptive manner at a EABC meeting or event may be asked to leave the meeting or event by any member or elected officer of the EABC. Any member not demonstrating good conduct, good sportsmanship or otherwise behaving in a disruptive manner at a EABC meeting or event may have their membership revoked or denied by the elected officers of the EABC. Article IV – Officers Section I – EABC Officers The elected officers of the EABC shall be a president, a vice-president, secretary and a treasurer. An EABC officer (elected or appointed) can be asked, by a majority of the elected officers or members of the general membership, to give up their office if they are not performing their assigned duties as a EABC officer or if they are not acting within the intent and/or the best interest of the EABC. Section II – Election of EABC Officers The EABC offices of President, Vice President, Secretary and Treasurer will be nominated and elected at the June meeting each year and will begin their term at the conclusion of the June meeting. The EABC offices of President, Vice President, Secretary and Treasurer will be re-elected annually. If any officer can no longer perform their duties for the remainder of their term, the current EABC officers will appoint a replacement for the remainder of that term. Section III – Duties of EABC Officers President The president shall: develop the agenda for all EABC meetings. be the chief executive officer of the EABC. preside at all meetings of the EABC. view and approve all correspondence to be sent out on behalf of the EABC. assist in the planning and implementation of all special events including, but not limited to, all home sporting events, all post season tournaments and games. be an authorized signer on all EABC bank accounts. have the power to appoint special committees subject to the approval of a majority of the elected officers. perform other duties as may be assigned him/her by the EABC members and other elected officers. be granted reimbursement for any expenses incurred in the performance of his/her duties. deliver to their successor all official material within ten (10) days following the meeting at which their successors take office. Vice-President The Vice-President shall: assume the duties of the president in the absence of the president. serve as an assistant to the president in his/her efforts for the good of the EABC. chair EABC meetings in the absence of the president. assume the office of the president in the event of resignation. abandonment of office, disability or death of the president. perform other duties as may be assigned him/her by the EABC members and other elected officers. assist in the planning and implementation of all special events including, but not limited to, all home sporting events, all post season tournaments and games. be an authorized signer on all EABC bank accounts. be granted reimbursement for any expenses incurred in the performance of his/her duties. deliver to their successor all official material within ten (10) days following the meeting at which their successors take office. Secretary The Secretary shall: be the third (3rd) in succession and preside over all meetings in the absence of the President and Vice President. keep accurate minutes of meetings of the EABC. send notices of EABC meetings. complete all correspondence on behalf of the EABC. arrange for all printed material and ads on behalf of the EABC. assist in the planning and implementation of all special events including, but not limited to, all home sporting events, all post season tournaments and games. perform other duties as may be assigned him/her by the EABC members and other elected officers. be granted reimbursement for any expenses incurred in the performance of his/her duties. deliver to their successor all official material within ten (10) days following the meeting at which their successors take office. Treasurer The Treasurer shall: be the fourth (4th) in succession and preside over all meetings in the absence of the President, Vice President and Secretary. be responsible for the collection, documentation and deposit of all funds flowing in the EABC including, but not limited to: concession sales, 50/50 raffle funds, donations, interest on bank accounts, special event funds, spirit wear funds. pay all required bills, including but not limited to, those associated with concession stand supplies, cleaning supplies, spirit wear, equipment purchase and repair, marketing, special event supplies, office supplies, printing and end of season banquets. reimburse any EABC elected officer or member for approved purchases made on behalf of the EABC provided the receipt is submitted to the Treasurer. keep accurate records of all funds received and expended. prepare a change fund for each sporting event where the EABC will run a concession stand, as well at any other EABC event where money will be collected. prepare and present a financial report at all EABC meetings, and at the request of any elected officers of the EABC. assure that all checks of the amount of $500 be signed by two (2) persons, the treasurer and one (1) other elected officer. perform other duties as may be assigned him/her by the EABC members and other elected officers. assist in the planning and implementation of all special events including, but not limited to, all home sporting events, all post season tournaments and games. be an authorized signer on all EABC bank accounts. be granted reimbursement by the President or Vice President for any expenses incurred in the performance of his/her duties. deliver to their successor all official material within ten (10) days following the meeting at which their successors take office. School Spirit Coordinator 6/11/13 Addendum: The officer position of School Spirit Coordination was added. School Spirit Coordination
The School Spirit Coordination shall:
be the fifth (5th) in succession and preside over all meetings in the absence of the President, Vice President, Secretary and Treasurer.
order all materials needed to show spirit (including clothing and decorations) Article V – Meetings Section I – General Membership Meetings EABC General Membership Meetings shall be held a minimum of once a month during the school year. In general, EABC General Membership Meetings will be held the 2nd Wednesday of each month at 6:00 PM. Dates of the meetings shall be determined by the elected officers and announced at the first regular meeting of the year and included on the school calendar. Whenever possible, five (5) days notice shall be given for a change of meeting date. In case of weather of other emergency, the decision to cancel a meeting will be made by the elected officers of the EABC. If a meeting must be cancelled every effort will be made to contact EABC members and expected guests of the cancellation via cell phone, e-mail, the EABC website and social media. If a meeting must be cancelled, every effort will be made to reschedule that meeting within that month. Section II – Elected Officer Meetings Elected Officer Meetings may be called at any time by any of the elected officers of the EABC as deemed necessary by the elected officers of the EABC. Section III – Special General Membership Meetings A special general membership meeting can be called b the President upon proper notice to the membership. Notice will be posted at the Jr. High School, High School and EABC website and social media. Every effort will be made to contact EABC members via cell phone and/or e-mail. Section IV – Voting Each family is entitled to only one vote. A simple majority of those present at a EABC meeting shall have the power to pass any motion and transact any business. All voting shall be by voice vote – in case of doubt, the President may demand a show of hands or take a vote by secret ballot. A motion, once passed, cannot be rescinded, changed or modified without a new motion being presented at a future meeting. A member intending to make a motion to rescind, change or modify a motion that was passed at a previous meeting must request the item be added to the meeting agenda. The President or presiding officer may recess a meeting for thirty minutes or less for an elected officer’s meeting at any time he/she deems necessary. Article VI – EABC Process for Expenditures The EABC will a have a rotation for uniform purchases. Uniforms will be purchased every five years. The secretary and/or treasurer can supply a list of the last year uniforms were purchased. The EABC will also accept written requests for uniforms or equipment. Article VII – Parliamentary Authority The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the EABC in all cases to which they are applicable and in which they are not inconsistent with these by-laws and any special rules of order the EABC may adopt. Article VIII – Amendments These by-laws may be amended by a majority vote of the EABC members present at any EABC meeting, provided that written notice of the proposed amendment shall have been given to the general membership at least 30 days prior to the meeting at which the amendment is to be considered. The notice shall include the complete text of the proposed amendment. Amendments to these by-laws shall take effect at the adjournment of the meeting at which they are adopted unless other wise provided. Article IX – Dissolution of the EABC Upon dissolution of the EABC, all assets remaining after discharging all legal obligations and debts be divided equally among all established Elmwood Jr. High and High School Athletic Programs.
